Terms of Service

1. Introduction
[DRAFT] These Terms of Service ("Terms") govern access to and use of the Assertum desktop application, website and related services (together, the "Service"). By creating an account, downloading the application or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm that you have authority to bind that company.
2. Definitions
[DRAFT] "Customer" means the individual or organisation using the Service. "Project Data" means source code, UI trees, screenshots, recorded flows, generated tests and any other material the Customer supplies to or produces with the Service. "Personal Data" means information relating to an identified or identifiable person, such as the name, email address and profile picture obtained when signing in with Google. "Subscription" means a paid plan giving access to features that are not part of the free tier.
3. Ownership of Customer Data
[DRAFT] The Customer retains all rights, title and interest in Project Data, including the test code generated with the Service. Assertum claims no ownership over the Customer's applications or the tests produced for them.
4. Customer Responsibility
[DRAFT] The Customer is responsible for the legality, accuracy and appropriateness of the Project Data it supplies, for having the right to test the applications it connects to the Service, and for reviewing generated tests before relying on them in a production pipeline.
5. Acceptable Use
[DRAFT] The Customer must not reverse-engineer, decompile or attempt to derive the source code of the Service except where such restriction is prohibited by law; resell, sublicense or provide the Service to third parties as a competing offering; probe or bypass licensing, entitlement or authentication mechanisms; scrape the Service or access it through automated means outside the documented interfaces; use the Service to generate unlawful, infringing or abusive content; or interfere with the availability of the Service for others.
6. Licence Granted to Assertum
[DRAFT] The Customer grants Assertum a limited, non-exclusive licence to host, process and transmit Project Data solely to operate, secure and support the Service. Assertum does not use Project Data to train machine learning models without the Customer's separate, explicit opt-in.
7. Intellectual Property
[DRAFT] Assertum and its licensors own all rights in the Service, including the application, the website, the documentation and all associated trademarks. No rights are granted other than the limited right to use the Service under these Terms.
8. Licences and Subscriptions
[DRAFT] Paid features are made available under a subscription or licence key tied to the Customer's account. Entitlements may be verified periodically, including offline within a limited grace period. Fees, billing periods and renewal terms are those shown at the time of purchase.
9. Free and Early-Access Features
[DRAFT] Parts of the Service may be offered free of charge, in beta or as early access. Such features are provided without any service-level commitment and may be modified, limited or withdrawn at any time.
10. Data Protection
[DRAFT] Assertum processes Personal Data in accordance with its Privacy Policy and applicable data protection law, applies access controls and encryption in transit, and limits internal access to what is required to operate and support the Service.
11. Data Backup
[DRAFT] The Customer remains responsible for maintaining its own backups of Project Data, including generated tests stored in its own repositories.
12. Third-Party Services
[DRAFT] The Service integrates with third-party components such as Google Sign-In, payment providers and model providers used for AI features. Use of those components is subject to the relevant third party's own terms, and Assertum is not responsible for their availability or behaviour.
13. Warranties
[DRAFT] The Service is provided "as is" and "as available". To the maximum extent permitted by law, Assertum disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted, error-free or that generated tests will be free of defects.
14. Limitation of Liability
[DRAFT] To the maximum extent permitted by law, Assertum is not liable for indirect, incidental, special or consequential loss, loss of profits, loss of business or loss of data. Assertum's aggregate liability arising out of or in connection with these Terms is limited to the fees paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim.
15. Indemnity
[DRAFT] The Customer will indemnify Assertum against claims, damages and reasonable costs arising from Project Data supplied by the Customer or from use of the Service in breach of these Terms.
16. Confidentiality
[DRAFT] Each party will keep confidential the non-public information of the other party disclosed in connection with the Service, use it only for the purposes of these Terms, and protect it with at least the care it applies to its own confidential information.
17. Suspension
[DRAFT] Assertum may suspend access where required to protect the Service or other customers, in the event of non-payment, or where use breaches these Terms. Where practicable, notice will be given before suspension.
18. Term and Termination
[DRAFT] The Customer may stop using the Service and delete its account at any time from the Profile page. Either party may terminate for material breach that remains uncured after a reasonable notice period. On termination, the right to use the Service ends and account data is deleted in line with the Privacy Policy.
19. Changes to the Service and to These Terms
[DRAFT] Assertum may update the Service and these Terms. Material changes will be announced on this page with a revised effective date, and continued use after the change takes effect constitutes acceptance.
20. Governing Law and Disputes
[DRAFT] These Terms and any dispute arising out of them are governed by the laws applicable at Assertum's place of establishment, and the parties submit to the exclusive jurisdiction of its courts. The governing law and venue will be confirmed in the final version of this document.
